Dealer / Distributor Agreement
Legal Terms & Conditions

This Agreement (“Agreement”) is entered into between Gyanvi Foodtech Pvt. Ltd., registered at B-3/262, Vishal Khand, Gomti Nagar, Lucknow - 206010 (“Company”), AND the approved Dealer/Distributor whose parameters and corporate credentials are systematically declared in the preceding Application Form (“Dealer/Distributor”).

1. Appointment:

The Company hereby appoints the Dealer/Distributor on a non-exclusive basis for the marketing, distribution, storage, and sales of the Company's product catalog—including Oxifresh water bottles, Noodles, Pasta, Soya, Roasted snack items, Flours, Poha, and all subsequent brand lines.

2. Territory Management:

The Dealer/Distributor shall operate strictly within the bounds of the specific geographical territory approved and allocated by the Company. No cross-border trading or active logistical redistribution shall be made outside the allocated zone without direct prior written authorization.

3. Operational Obligations of Dealer/Distributor:

The Dealer/Distributor agrees, guarantees, and binds itself to:

Promote and sell products in absolute accordance with the FSSAI guidelines, Legal Metrology rules, and local health policies.
Maintain rodent-free, completely hygienic warehouse facilities and optimal storage environments to safeguard food safety.
Never alter, repackage, open, or deface the brand graphics, primary sealing elements, or MRP labels of the Company.

4. Pricing Structure & Financial Advance Terms:

Supply matrices and landing values shall be exclusively determined by the Company from time to time.
All product dispatches shall be processed strictly against **100% full advance payment clearance** into the designated bank account of the Company.
Any failure or delay of advance components might trigger a suspension of the supply pipeline without liability on the Company.

5. Quality Assurance & Regulatory Compliance:

The Dealer/Distributor assumes direct responsibility to ensure compliance including up-to-date regional FSSAI validation parameters, state/central GST invoicing records, local labor laws, and metrology standardization guidelines.

6. Framework Term & Termination Matrix:

This contract structure shall remain valid and legally operative for a period of **one (1) year** from execution, reviewable annually.
Either party can terminate this business matrix by providing an explicitly clear **30 days’ written advance notice**.
The Company preserves the right to terminate this framework **immediately and with zero notice** in situations of contract default, brand tampering, black-marketing, or fiscal bankruptcy.

7. Independent Status (No Partnership):

Nothing detailed within this framework shall be defined or legally established as a mechanism of forming an explicit partnership, joint corporate venture, agency, or employer-employee association between the signing entities.

8. Indemnification Clause:

The Dealer/Distributor explicitly agrees to protect, defend, indemnify, and hold harmless Gyanvi Foodtech Pvt. Ltd. and its directors from any administrative fines, litigations, stock damages, or third-party claims generated through warehouse negligence or local non-compliance acts.

9. Governing Law & Localized Judicial Jurisdiction:

This legal structure and business operations shall be processed strictly in accordance with the Laws of India. The competent **Courts at Lucknow** shall hold the exclusive legal jurisdiction to resolve any conflicts, litigation, or arbitration matters.
